Which AI-powered marketing tools are affected, what the transparency and classification requirements look like, and how to build a compliance roadmap for the marketing stack.

Which MarTech Tools Are Affected

The AI Act applies to AI systems, not to software in general. The distinction matters for MarTech stacks because not every tool with "AI" in its marketing materials meets the AI Act's definition. The regulation targets systems that use machine learning, logic-based, or statistical approaches to generate outputs such as predictions, recommendations, decisions, or content that influence the environment they interact with. A rule-based email segmentation tool is probably not an AI system under the Act. A machine learning model that predicts customer churn and automatically adjusts campaign targeting is.

In a typical PE portfolio company's MarTech stack, the tools most likely to fall within the AI Act's scope include: AI-powered recommendation engines (product recommendations, content personalization), predictive lead scoring and customer churn models, conversational AI tools (chatbots, virtual assistants), automated content generation systems, dynamic pricing engines, and AI-driven audience segmentation tools that use behavioral prediction rather than rule-based criteria.

The classification question is fact-specific. A chatbot that uses pre-scripted responses is not an AI system. A chatbot that uses a large language model to generate responses is. A personalization engine that applies fixed business rules to segment users is not an AI system. One that uses collaborative filtering or neural networks to predict user preferences is. The audit must look at the actual technical implementation, not the vendor's marketing description.

Field observation In a recent MarTech stack audit, we identified 23 tools in the company's marketing technology inventory. Of those, 7 met the AI Act's definition of an AI system based on their actual technical implementation. The marketing team had classified 12 tools as "AI-powered" based on vendor positioning. Five of those used rule-based logic that does not meet the AI system definition. Two tools the team did not consider "AI" were in fact using machine learning models for audience prediction. The vendor classification and the regulatory classification rarely align.

Transparency Obligations for Marketing AI

Article 52 of the AI Act imposes transparency obligations that apply broadly across risk tiers, including to many MarTech tools that fall outside the high-risk classification. The most relevant provisions for marketing teams are the chatbot disclosure requirement and the AI-generated content labeling requirement.

For chatbots and virtual assistants: any AI system designed to interact with natural persons must be designed and developed in such a way that the person interacting with the system is informed that they are interacting with an AI system. This applies unless it is obvious from the circumstances and context of use. For most marketing chatbots deployed on websites or messaging platforms, the obligation is clear: users must know they are talking to an AI. A "Powered by AI" label is not sufficient in all cases. The disclosure must be provided before or at the start of the interaction, in a clear and distinguishable manner.

For AI-generated content: systems that generate synthetic audio, image, video, or text content must be designed such that the outputs are marked in a machine-readable format and are detectable as artificially generated or manipulated. For marketing teams using AI to generate ad copy, social media content, email templates, or visual assets, this creates a labeling obligation. The implementing regulations are still defining the specific technical standards for machine-readable marking, but the principle is established: AI-generated marketing content must be identifiable as such.

For personalization engines: when an AI system is used to generate content or recommendations that are presented to users alongside organic content (for example, a recommendation engine on an e-commerce site), the user must be informed that the content has been generated or curated by an AI system. This applies to limited-risk systems under the transparency tier. It does not require a full conformity assessment, but it does require clear user-facing disclosure.

Risk Classification for Marketing AI Systems

Most MarTech AI systems fall into the limited-risk or minimal-risk categories under the AI Act. Standard product recommendation engines, content personalization tools, and predictive analytics platforms are not listed in Annex III and therefore do not carry high-risk obligations. The transparency requirements under Article 52 still apply, but the full conformity assessment, quality management system, and technical documentation requirements do not.

There are exceptions that marketing teams need to watch. An AI system that determines pricing based on individual behavioral profiling could be classified as high-risk if that pricing affects access to essential services (insurance, financial products, housing). An AI system used for employee-facing marketing operations (such as an AI tool that evaluates marketing team performance or allocates leads to sales representatives based on predicted conversion rates) could fall under the employment management high-risk category. A marketing AI system that uses biometric data (facial recognition for audience analysis, emotion detection for ad testing) is almost certainly high-risk and may be prohibited depending on the specific use case.

The risk classification assessment for the MarTech stack should not be conducted tool by tool. It should be conducted use case by use case. The same tool deployed for product recommendations (limited risk) and for credit-adjacent pricing decisions (potentially high risk) carries different obligations depending on the deployment context. This means the assessment requires input from both the technical team (what the tool actually does) and the business team (how the tool is used in production).

Building the MarTech AI Compliance Roadmap

A practical compliance roadmap for MarTech AI obligations follows four phases. Phase one is inventory and classification: identify every AI system in the marketing stack, determine whether each meets the AI Act's definition of an AI system, and classify each by risk tier based on actual use case, not vendor marketing. This phase typically takes two to four weeks for a mid-market company.

Phase two is gap assessment: for each classified AI system, map current documentation, transparency provisions, and governance practices against the applicable requirements for its risk tier. For limited-risk systems, the gap assessment focuses on transparency disclosures and content labeling. For any high-risk systems identified in phase one, the gap assessment expands to cover all Article 8 through 15 requirements. Deliverable: a scored compliance gap matrix with remediation priorities.

Phase three is remediation implementation: address the identified gaps in priority order. For most MarTech stacks, the highest-priority items are chatbot disclosure implementation (straightforward UI changes), content labeling processes for AI-generated marketing assets (requires workflow changes in the content production process), and documentation of data governance for any systems that use personal data for model training. For companies with high-risk marketing AI systems, this phase includes the full conformity assessment and quality management system implementation.

Phase four is ongoing governance: establish the processes that maintain compliance as the stack evolves. This includes a new-tool assessment protocol (every new MarTech tool must be classified before deployment), a periodic review cycle (quarterly reassessment of existing classifications as use cases change), and documentation maintenance procedures. Without phase four, the compliance achieved in phase three degrades with every new tool addition, vendor update, or use case change.

The roadmap should be owned by a specific function, not distributed across marketing, legal, and IT with no clear accountability. In PE portfolio companies, this ownership gap is the most common reason compliance work stalls. Assign a single owner with authority to make tool deployment decisions and the budget to implement required changes. That owner needs a direct reporting line to the operating partner or CEO, not a dotted line to a legal department that treats the AI Act as a regulatory curiosity rather than an operational requirement.
